Crytek Chief Executive Cervat Yerli laid out his observations during an interview with gaming website Video Gamer. According to him, next-generation consoles will require more RAM?about 8 GB or more?for maximum performance.

Although a 32 GB may sound far-fetched, the exec strongly believes that more memory is necessary for console makers to come up with a next-generation cutting-edge gaming system.

Purported Release for Xbox 720 and PlayStation 4

Industry pundits are expecting that the so-called Xbox 720 and PlayStation 4 will be released late next year. However, a recent report from SemiAccurate states that the purported consoles are facing production issues. Thus, their release could be delayed to 2014.

Given the sheer number of wafers Microsoft contracted for, this seems to be both an anticipated problem, and one they have plans to work through.

As for Sony?s PlayStation 4, the project is called Thebes, and it carries AMD CPU and GPU. Most likely it will be released in the spring of 2014, but it could be postponed until fall of the same year.

However, these things remain as ?speculations? until an official statement is released by each gaming system manufacturer.

NY firemen's killer mapped out plan for slayings

WEBSTER, N.Y. (AP) ? The ex-con turned sniper who killed two firefighters wanted to make sure his goodbye note was legible, typing out his desire to "do what I like doing best, killing people" before setting the house where he lived with his sister ablaze, police said.

Police Chief Gerald Pickering said Tuesday that the 62-year-old loner, William Spengler, brought plenty of ammunition with him for three weapons including a military-style assault rifle as he set out on a quest to burn down his neighborhood just before sunrise on Christmas Eve.

And when firefighters arrived to stop him, he unleashed a torrent of bullets, shattering the windshield of the fire truck that volunteer firefighter and police Lt. Michael Chiapperini, 43, drove to the scene. Fellow firefighter Tomasz Kaczowka, 19, who worked as a 911 dispatcher, was killed as well.

Two other firefighters were struck by bullets, one in the pelvis and the other in the chest and knee. They remained hospitalized in stable condition and were expected to survive.

On Tuesday, investigators found a body in the Spengler home, presumably that of the sister a neighbor said Spengler hated: 67-year-old Cheryl Spengler. Spengler's penchant for death had surfaced before. He served 17 years in prison for manslaughter in the 1980 hammer slaying of his grandmother.

But his intent was unmistakable when he left his flaming home carrying a pump-action shotgun, a .38-caliber revolver and a .223-caliber semiautomatic Bushmaster rifle with flash suppression, the same make and caliber weapon used in the elementary school massacre in Newtown, Conn., that killed 26.

"He was equipped to go to war, kill innocent people," the chief said of a felon who wasn't allowed to possess weapons because of his criminal past. It was not clear how he got them.

The assault rifle was believed to be the weapon that struck down the firefighters. He then killed himself as seven houses burned on a sliver of land along Lake Ontario. His body was not found on a nearby beach until hours afterwards.

The motive was left unclear as well, Pickering said, even as authorities began analyzing a two- to three-page typewritten rambling note Spengler left behind.

He declined to reveal the note's full content or say where it was found. He read only one chilling line: "I still have to get ready to see how much of the neighborhood I can burn down, and do what I like doing best, killing people."

Pickering added: "There was some rambling in there and some intelligence we need to follow up on."

It remained unknown what set Spengler off but a next-door neighbor, Roger Vercruysse, noted that he loved his mother, Arline, who died in October after living in the house in a neighborhood of seasonal and year-round homes across the road from a lakeshore popular with recreational boaters.

Pickering said it was unclear whether the person believed to be Spengler's sister died before or during the fire.

"It was a raging inferno in there," Pickering said.

As Pickering described it and as emergency radio communications on the scene showed, the heavily armed Spengler took a position behind a small hill by the house as four firefighters arrived after 5:30 a.m. to extinguish the fire: two on a fire truck; two in their own vehicles.

Several firefighters went beneath the truck to shield themselves as an off-duty police officer who came to the scene pulled his vehicle alongside the truck to try to shield them, authorities said.

The first police officer who arrived chased and exchanged shots with Spengler, recounting it later over his police radio.

"I could see the muzzle blasts comin' at me. ... I fired four shots at him. I thought he went down," the officer said.

At another point, he said: "I don't know if I hit him or not. He's by a tree. ... He was movin' eastbound on the berm when I was firing shots." Pickering portrayed the officer as a hero who saved many lives.

The audio posted on the website RadioReference.com also has someone reporting "firefighters are down" and saying "got to be rifle or shotgun ? high-powered ... semi or fully auto."

Spengler had been charged with murder in his grandmother's death but pleaded guilty to a reduced charge of manslaughter, apparently to spare his family a trial. After he was freed from prison, Spengler had lived a quiet life on Lake Road on a narrow peninsula where Irondequoit Bay meets Lake Ontario.

That ended when he left his burning home Monday morning, armed with his weapons, a lot of ammunition and a measure of hate.

"I'm not sure we'll ever know what was going through his mind," Pickering said.

SAfrica: Children attend Mandela's Christmas party

MVEZO, South Africa (AP) ? A couple of decades ago, Nelson Mandela grew withdrawn while feasting with his family on Christmas Day in the part of rural South Africa where the anti-apartheid leader lived as a child. Alarmed by the patriarch's silence, some relatives looked at him and asked if anything was wrong.

"'I'm just wondering what the rest of the community is doing while we're having a huge meal,'" Mandela said at the time, according to his grandson, Mandla.

Family members immediately canvassed the neighborhood for children to join their party, rounding up a merry band of 60, and so began an annual tradition that ballooned in popularity. A scaled down version was held Tuesday in Mvezo, Mandela's birthplace, drawing hundreds of local children to a celebration whose 94-year-old founder could not attend because he is in hospital care.

President Jacob Zuma, meanwhile, joined Mandela's wife, Graca Machel, and other family members to wish a Merry Christmas to Mandela at his hospital bedside in Pretoria, the South African capital.

"We found him in good spirits," Zuma said in a statement. "He shouted my clan name, Nxamalala, as I walked into the ward! He was happy to have visitors on this special day and is looking much better. The doctors are happy with the progress that he is making."

Mandela was admitted Dec. 8 to a hospital. He was diagnosed with a lung infection and also had a procedure to remove gallstones. Officials have previously said Mandela was improving, but note doctors are taking extraordinary care because he is very old.

In Mvezo, it was a rainy day, but the 800 children attending the Mandela party were happy to sweep up sunglasses, dolls, toy cars, blankets and other gifts. They cavorted and whooped under a big tent. Loud music livened the moment. One little girl, however, didn't get her wish.

"I wish to see Tata Mandela back home to have Christmas with us," said 4-year-old Babalwa Booi. "Tata" means father in South Africa's Xhosa language.

"This is a special day to us mainly because of the lessons drawn from my grandfather," said Mandla Mandela, a tribal chief in the Mvezo area of Eastern Cape province.

The genesis of the homegrown Christmas party is one more entry in the voluminous lore about Mandela's generosity and openness of spirit, which he even extended at times to the jailers who imprisoned him for 27 years under apartheid.

The system of white minority rule was eventually dismantled, opening the way to South Africa's first democratic elections in 1994. Mandela, a Nobel laureate, served one five-year term as president before retiring and in recent years he has lived near Mvezo in Qunu, a village where he recalled happy moments as a child.

Mandela himself was uneasy with the idea of being an icon, and as president, he failed to craft a lasting formula for overcoming South Africa's biggest, post-apartheid problems, poverty and economic inequality. While he was active, he did not escape criticism as an individual and a politician, but he is globally respected as a symbol of decency and principle.

Mandla Mandela, the grandson, remembered how the Christmas party that followed the first impromptu one in the 1990s was swamped by more than 1,000 children, three times as many as were expected. By 2001, nearly 10,000 were showing up. At some point, the chief said, American television personality Oprah Winfrey got involved and there was sponsorship.

"The numbers grew phenomenally," he said, with tens of thousands of children in attendance.

The Christmas parties were originally held in Qunu. The 2005 edition was cancelled when Mandla Mandela's father died. The tradition was revived in 2007 in Mvezo.

Nelson Mandela "has always said every society will be judged by the manner it treats its children," his grandson said.

"We were, on our part, wishing to spend this time with him, Christmas being a family day," his grandson said. "But we do not want to exert pressure on the doctors because they know what he needs to get well."

MIAMI (CBSMiami) ? A Christmas Eve drive was held to help a southwest Miami-Dade family who lost everything when their home was destroyed in a fire on Sunday.

The Rodriguez family, who lived in the home at 15200 SW 184th Street, was able to get out safely before the swift moving fire gutted their home, according to Miami-Dade Fire Rescue spokesman Lt. Arnold Piedrahita Jr.

Everything in the home, including Christmas gifts for the couple?s 13-year old son and seven-year old daughter, was destroyed.

?I don?t have words to describe this, but I really want to thank God first of all,? said Haender ?Cubita? Rodriguez.

Pastor Luis Couvertier organized the drive at the children?s school ? Gladeview Christian School at 12201 SW 26th Street.

Friends, fellow church members and strangers who hear what had happened donated 40 bags of clothes and toys.? The family also received new bedding and $3,000 in cash and gift cards.

Rodriguez said he?ll never forget the moment he realized his and his family?s life were in danger.

?Out of nowhere I heard my son screaming ?fire, fire, fire,?? said Haender ?Cubita? Rodriguez, a professional MMA fighter. ?I blinked and man, everything was gone!?

Rodriguez helped his 13-year-old son and seven-year-old daughter, who were inside the house, to safety. He also was able to rescue several of the family?s dogs.

Rodriguez?s wife, Aymara, was at work when she says she got an email alert about the fire.

?I started calling the house and there was no answer, so I panicked and started calling and calling my mom and nobody would answer,? said Mrs. Rodriguez.

She then rushed home, where she found her husband and kids safe. Aymara Rodriguez and her husband say they can only take everything from here one step at a time.

Monday, Haendar said he never questioned why the fire happened.

?I never ask God why does this have to happen to us, because I know God has a better tomorrow for us,? Haendar said. ?It makes me see life differently.?

Gulf Arabs decry Iran "interference" in region

MANAMA (Reuters) - Six U.S.-allied Gulf Arab states demanded on Tuesday that Iran end what they called interference in the region, reiterating a long-held mistrust of their main rival.

The Islamic Republic denies trying to subvert Saudi Arabia and its wealthy Gulf neighbors.

A communique issued at the end of a two-day summit of the Saudi-led Gulf Cooperation Council (GCC) also urged action to halt mass killings and violations of international law in Syria.

The oil-producing GCC states wield influence out of proportion to their sparse populations due in part to global energy and investment links, generous international aid and Saudi Arabia's role as home to Islam's two holiest sites.

"The council expressed its rejection and condemnation of the continuing Iranian interference in the affairs of the Gulf Cooperation Council's states and called on Iran to stop these policies," the communique said.

On the conflict in Syria, the statement, read out by GCC Secretary-General Abdulatif al-Zayani, added: "We ask the international community for serious and swift moves to stop these massacres and these severe attacks".

Kuwait said it would host an international humanitarian donor conference for Syria in late January, amid concern for millions of Syrians suffering war, homelessness and winter cold.

"LOTS OF MEDDLING"

Gulf Arab leaders have long called for Syrian President Bashar al-Assad to step down, and in November the GCC recognized a newly-formed opposition coalition as the legitimate representative of the Syrian people.

The communique did not elaborate on Iran, but the most common Gulf Arab complaint about alleged Iranian meddling in the region relates to Bahrain, which has repeatedly accused Tehran of interference in its internal politics.

Iran sees the Gulf as its own backyard and believes it has a legitimate interest in expanding its influence there.

Bahraini Foreign Minister Khalid Bin Ahmed Bin Mohammed Al Khalifa told reporters Iran posed a "very serious threat".

"Politically, (there is) lots of meddling in the affairs of GCC states; an environmental threat to our region from the technology used inside nuclear facilities; and there is of course the looming nuclear program," he said, referring to Iran's disputed atomic work.

"So the threat level is quite high, but we are ready if faced with circumstances that require action."

While not racked by disturbances on the scale of Syria or Egypt, Bahrain has been volatile since pro-democracy protests led by its Shi'ite Muslim majority erupted last year.

Scattered smoke plumes rose from Bahrain's Sitra and Sanabis districts on Tuesday, apparently caused by youths burning tires, but no major demonstrations were reported by activists.

Bahrain's Sunni Muslim rulers brought in Saudi and United Arab Emirates forces last year to help quell the protests, and Shi'ite power Iran condemned the move, saying it could lead to regional instability. Bahrain has accused Iran of being behind the unrest. Tehran denies this.

GCC FORCE LONG SEEN AS INEFFECTIVE

Bahrain's Shi'ites say they are marginalized politically and economically, a charge the government denies. It has rejected the protesters' main demand for an elected government.

The summit statement said the GCC would set up a unified military command to tighten defense cooperation but offered few details of a project long prey to sensitivities about sovereignty. Security in the waterway, through which 40 percent of the world's seaborne oil exports passes, has been dominated for decades by the United States.

But uprisings against long-standing governments across the Middle East and rivalry with Iran over the conflict in Syria have stirred calls among Gulf Arabs to speed up long-stymied efforts to integrate their own foreign and security policies.

The GCC said it had "supported the creation of a unified military command that organizes and plans and leads the ground, naval and air forces."

The communique did not elaborate. But Mustafa Alani, a security analyst, told Reuters that he understood the idea was to have a standing command rather than a functioning one, and that it would only operate in times of crisis.

The GCC already has a pan-GCC military force -- the 9,000-strong Peninsula Shield, created in 1986 and based in Saudi Arabia. It took part in the 1991 Gulf war and was deployed in Kuwait during the U.S.-led invasion of Iraq in 2003.

But the Saudi-based force is widely seen as ineffective. Gulf Arab states have faced a host of obstacles to military integration, including a lack of common equipment, their own reliance on their U.S. ally and concern among some states about potential Saudi dominance of any joint military effort.

The couple reached a settlement agreement in 2009 in which Ne-Yo coughed up $575,000 to Jesseca, who in turn officially said the kid wasn't his. Ne-Yo was originally listed on the birth certificate as the father, but his name was later removed.

As part of the deal, both sides agreed to a confidentiality clause, promising to never go public with the info.?Fast forward to September 2012 ... Ne-Yo did an interview with VH1's "Behind the Music" and spilled the beans on the whole sordid ordeal.

Now, Gloria Allred has fired off a letter to Ne-Yo accusing him of breaking the agreement. Allred claims that because Ne-Yo falsely painted Jesseca as a harlot who lied, broke his heart and then vanished ...?Jesseca has been defamed, ridiculed and harassed.

According to the letter, Jesseca has been unable to work, was forced to file for state aid, suffers from mental anguish and is "beset by nausea, vomiting and hair loss" thanks to Ne-Yo's remarks.

Jesseca is asking Ne-Yo to settle the matter amicably out of court (cough, cough $$$$) ... otherwise she'll be forced to pursue more serious legal options.

We reached out to Ne-Yo's rep -- so far, no word back.

DeKALB ? Beth Drake is hoping the Christmas lights outside TAILS Humane Society bring more people into the animal shelter.

?As it gets dark, it gets harder to see buildings on the side of the road,? said the executive director of TAILS. ?It makes people think, well gosh, ?I haven?t thought about a cat recently.??

Drivers cruising by TAILS Humane Society, 2250 Barber Greene Road, at night will notice the shelter is hard to see. Beth Mars, the director of operations for Petco Foundation, said she missed the building when she first visited it.

Mars was attending an auction hosted by another animal shelter when she set eyes on the Christmas lights package. Mars thought the lights were a very clever auction item.

?I thought, ?Oh my God, this would be perfect for TAILS,?? Mars said. ?People could see them. Look for the lights.?

Mars bid $1,800 on the lights package and won. She contacted the donors of the lights, Kramer Tree Specialists, a tree care company located in West Chicago, and arranged to have them set up the lights for free. Paul Filary, the sales and marketing manager at Kramer Tree Specialists, said ?we were happy to do it.?

Mars said the holiday season is the perfect time to think about adopting a pet.

?My motto is let?s make this a no-more-homeless holiday for pets,? Mars said.

Drake said TAILS would not have been able to afford the lights package on its own, describing it as a wonderful gift for the holidays.

?[Mars] wanted to attract attention to our shelter so we can adopt more animals out for this holiday season,? Drake said, adding that they normally see a 20 percent increase over the holidays. ?It really serves its purposes. I?ve heard nothing but compliments from people, and it?s brought people in.?

Filary said the Christmas lights they installed outside of TAILS typically are for residences. The owners of Kramer Tree Specialists, Joe and Jan Kramer, have ?always had an interest in animal shelters and pets.?

?And through Kramer Trees, they?ve been helping animal shelters for quite awhile,? Filary said.

When Sen. John Kerry (D) of Massachusetts replaces Secretary Clinton as secretary of State ? the job that President Obama nominated Senator Kerry for on Friday ? expect the tone set by America?s top diplomat to change. In an era when being secretary of State is increasingly about style as much as substance, many foreign-policy experts say, the five-term senator and quiet policy negotiator is expected by many to return the office to a more traditional version of diplomacy.

In announcing his selection of Kerry, Mr. Obama said that, as the son of a Foreign Service officer and the chairman of the Senate Foreign Relations Committee, who is well known and ?respected? by dozens of world leaders, Kerry ?is not going to need a lot of on-the-job training.? Kerry still must win Senate confirmation, but he is not expected to encounter much resistance, with key senators like John McCain (R) of Arizona already referring to him as ?Mr. Secretary.?

While international experts equate Clinton with ?people to people? diplomacy, some cite another ?P? word for Kerry ? patrician. But they add that, in the world?s diplomatic circles, that won?t necessarily be a drawback.

Kerry may be known for a certain ?aloofness,? but ?it?s not particularly germane to being secretary of State if you?re seen as the type who has beers with the guys at the local tavern or you?re seen as patrician,? says James Dobbins, director of the International Security and Defense Policy Center at the RAND Corp. in Arlington, Va., and a former US envoy to Afghanistan.

?In fact in international terms, being seen as a patrician is not a disadvantage,? he adds. ?A dignified person with some or substantial familiarity with the elites of the world is not at a disadvantage at all.?

Some foreign-policy experts with diplomatic experience say Kerry is ?the right man at the right time? because the tough international issues he?ll face ? ranging from Iran?s nuclear program to Syria?s civil war and a rising China ? require a serious ?issues person? who can hit the ground running.

Hot spots draw believers, but not doomsday

As the sun rose from time zone to time zone across the world on Friday, there was still no sign of the world's end ? but that didn't stop those convinced that a 5,125-year Mayan calendar predicts the apocalypse from gathering at some of the world's purported survival hot spots.

Many of the esoterically inclined expected a new age of consciousness ? others wanted a party. But, in some places said to offer salvation from the end, fewer people showed up than officials had predicted ? much to the disappointment of vendors hoping to sell souvenirs.

Here are some key places being marked by the fascination over doomsday rumors:

MEXICO

In an area of Mexico that was once the ancient Mayan heartland, spiritualists gathered in the darkness before dawn on Friday to prepare white clothes, drums, conch shells and incense. They believed the sunrise would herald the birth of a new and better age as a vast cycle in the Mayan calendar comes to an end.

Many people who came to Yucatan for the occasion were already calling it "a new sun" and "a new era."

FRANCE

According to one rumor, a rocky mountain in the French Pyrenees will be the sole place on Earth to escape destruction. A giant UFO and aliens are said to be waiting under the mountain, ready to burst through and spirit those nearby to safety. But there is bad news for those seeking salvation: French gendarmes, some on horseback, blocked outsiders from reaching the Bugarach peak and its village of some 200 people.

Eric Freysselinard, head of local government, said the security forces had "partially stopped the new age enthusiasts as well as curious people from coming to the area."

Meanwhile, some Bugarach residents dressed up like aliens, with tinfoil costumes and funnels and fake antenna on their heads, strolling around their village Friday to make light of the rumored UFO prophecy.

RUSSIA

Doomsday rumors have prompted some people across Russia to stock up on candles, water, canned foods and other non-perishable foods. The apocalypse has proven a good business, with some shops selling survival aid packages that include soap and vodka.

In Moscow, salvation has also been promised in the underground bunker for the former Soviet dictator Josef Stalin ? with a 50 percent refund if nothing happens. An underground stay was originally priced at 50,000 rubles ($1,625) but dropped to 15,000 ($490) a week ahead of the feared end.

The bunker, located 65 meters (210 feet) below ground, was designed to withstand a nuclear attack. Now home to a small museum, it has an independent electricity supply, water and food ? but no more room, because the museum has already sold out all 1,000 tickets.

BRITAIN

Hundreds of people have converged on Stonehenge for an "End of the World" party that coincides with the Winter Solstice.

Arthur Uther Pendragon, Britain's best-known druid, said he was anticipating a much larger crowd than usual at Stonehenge this year. But he doesn't agree that the world is ending, noting that he and fellow druids believe that things happen in cycles.

"We're looking at it more as a new beginning than an end," he said. "We're looking at new hope."

Meanwhile, end-of-days parties will be held across London on Friday. One event billed as a "last supper club" is offering a three-course meal served inside an "ark."

SERBIA

Some Serbs are saying to forget that sacred mountain in the French Pyrenees. The place to be Friday is Mount Rtanj, a pyramid-shaped peak in Serbia already drawing cultists.

According to legend, the mountain once swallowed an evil sorcerer who will be released on doomsday in a ball of fire that will hit the mountain top. The inside of the mountain will then open up, becoming a safe place to hide as the sorcerer goes on to destroy the rest of the world. In the meantime, some old coal mine shafts have been opened up as safe rooms.

On Friday a New Age group called "The Spirit of Rtanj" was holding a conference there. Participants, however, said they expect not the end of time but the start of a new time cycle. Locals turned out to sell brandy and herbs.

"There will be no tragedy, no doomsday," said resident Dalibor Jovic. "It was supposed to happen at 12:12 and I think that time has passed. So, we can now go on with our lives and be happy to be alive."

TURKEY

A small Turkish village known for its wines, Sirince, has also been touted as the only place after Bugarach that would escape the world's end. But on Friday journalists and security officials outnumbered cultists. This outcome disappointed local business people who had prepared a range of doomsday products to sell, including a specially labeled Doomsday wine and Turkish delight candy whose "best before" date was Dec. 21, 2012. One restaurant prepared a special "last meal" menu that included a "heaven kebab" and "forbidden fruit dessert."

ITALY

Another spot said to be spared: Cisternino, a beautiful small town in southern Italy in an area of trulli, traditional dry stone huts with conical roofs. The notion that Cisternino could be a safe haven at world's end derives from an Indian guru, Babaji, who said "Cisternino will become an island" at world's end. His followers built a community in Cisternino centered on an ashram built in 1979. Hotel bookings are up this weekend.

Mayor Donato Baccaro told the AP that the beauty of the place has inspired many foreigners to live there. "This confirms that this place has a special energy," he said.

CHINA

A fringe Christian group has been spreading rumors about the world's impending end, prompting Chinese authorities to detain more than 500 people this week and seize leaflets, video discs, books and other material.

Those detained are reported to be members of the group Almighty God, also called Eastern Lightning, which preaches that Jesus has reappeared as a woman in central China. Authorities in the province of Qinghai say they are waging a "severe crackdown" on the group, accusing it of attacking the Communist Party and the government.

U.S.

Dozens of Michigan schools canceled classes for thousands of students to cool off rumored threats of violence and problems related to doomsday. The fears were exacerbated by the recent shooting at a Connecticut elementary school, which "changed all of us," the school system in Genesee County said. "Canceling school is the right thing to do."

Bombing at political rally kills 8 in Pakistan

PESHAWAR, Pakistan (AP) ? Pakistani police say a suicide bomber attacked a political rally in the country's northwest, killing eight people.

Police officer Arfan Khan says the bombing Saturday in Peshawar, the capital of Khyber Pakhtunkhwa province, also wounded more than 20 people.

Khan says the rally was being held by the Awami National Party, whose members have been repeatedly targeted by the Taliban. A provincial Cabinet minister from the party, Bashir Balour, was wounded in the attack.

ICE's NYSE swoop creates derivatives giant

LONDON (Reuters) - IntercontinentalExchange's $8.2 billion takeover of New York Stock Exchange owner NYSE Euronext allows it to tap into a dramatic expansion of demand for clearing financial derivatives expected next year.

The deal announced on Thursday gives commodities and energy bourse ICE control of NYSE Liffe, Europe's second-largest derivatives exchange, helping it to compete against larger U.S. rival CME Group, owner of the Chicago Board of Trade.

Unlike stock trading, derivatives remain highly profitable for the exchanges, and new rules next year will sharply increase demand for clearing over-the-counter contracts.

NYSE Euronext CEO Duncan Niederauer had long felt that his shareholders did not appreciate the true value of the London-based futures and options exchange, and had talked to bankers about how to improve NYSE's stock price, a person familiar with the matter said.

NYSE made an operating income of $473 million from Liffe in 2011 on revenues of $861 million compared to an income of $533 million on revenues of $1.3 billion from its equities business.

The deal threatens to further reduce the clout of the New York Stock Exchange. While "Big Board", as it is affectionately known, has stood for 200 years as an iconic symbol of U.S. capitalism, it is almost an afterthought in the takeover.

The stock market businesses are less valuable to ICE. The company said it will try to spin off the Euronext European stock market businesses in a public offering, generating speculation it may also have little interest in the NYSE trading floor.

Profits from stock trading have been significantly eroded by new technology and the rise of other places for investors to trade, including venues known as "dark pools."

ICE's Jeff Sprecher will be CEO of the combined organization, and the NYSE Euronext CEO will be president, a ceremonial title at many U.S. companies. In an interview, Niederauer said he would remain at least through 2014 as an "important senior member" of Sprecher's management team.

Sprecher and Niederauer have been friends for years, but the two stopped talking for about six weeks in 2011 when ICE teamed up with Nasdaq OMX Group to make an unsolicited bid for NYSE Euronext. That bid came even as the New York Stock Exchange operator was trying to sell itself to Deutsche Bourse. Regulatory concerns killed both deals.

Without the Nasdaq or Deutsche Bourse's huge equity operations, ICE alone has far less overlapping business and should face easy approvals, antitrust lawyers said.

The deal values each NYSE Euronext share at $33.12, a 28 percent premium to the stock's closing price on Wednesday. NYSE Euronext stock rose 34 percent to end at $32.25 on Thursday. ICE's shares fell as much as 4 percent but finished regular trading at $127.60, up 1.4 percent on the day.

ICE said it would pay annual dividends of $300 million to the companies' shareholders once the deal closes, about what NYSE pays its shareholders now.

IN THE DOLDRUMS

The deal reflected Niederauer's inability to get his company's share price out of the doldrums. Before the latest ICE offer emerged, NYSE Euronext's shares had fallen by nearly a third since ICE and Nasdaq launched their thwarted joint bid.

Further consolidation of exchanges was "inevitable" and ICE was a "great partner," Niederauer said on a call with analysts, so continuing on alone did not make sense.

"We can sit here and keep slugging away and keep working hard, but the bottom line is we had not delivered, in my mind, sufficient returns to shareholders," Niederauer said. NYSE bought Euronext, including Liffe, for 8 billion euros in 2007.

Sprecher incorporated the stalled stock price - and the unrecognized value of Liffe - as part of his pitch.

"The reason that we were prepared to pay $33 a share for a company that was trading at $24 a share was that there is a $33 company in here and the market was just not either seeing it or willing to give credit for," he said in an interview. "We said, 'let's just force the credit.'"

The two sides negotiated in secret for about eight to 10 weeks, the two CEOs said. In options markets, there were some signs that word might have leaked out, with a sudden upswing in the demand for call options on NYSE, which perform well when a company's share price rises.

ICE started out as an online marketplace for energy trading before Sprecher initiated a string of acquisitions from the London-based International Petroleum Exchange in 2001, to the New York Board of Trade and, most recently, a handful of smaller deals, including a climate exchange and a stake in a Brazilian clearing house.

ICE's current main operations are in energy futures trading and, it has steered clear of stocks and stock-options trading, key businesses for NYSE Euronext.

U.N. seeks $1.5 billion to address Syria crisis

GENEVA (Reuters) - The United Nations appealed on Wednesday for $1.5 billion to provide life-saving aid to Syrians suffering from a "dramatically deteriorating" humanitarian situation.

The twin appeals, $519.6 million for aid within Syria and $1 billion to meet the needs of up to 1 million Syrian refugees in five countries, comprise the "largest short-term humanitarian appeal ever", the world body said in its statement.

"The magnitude of this humanitarian crisis is indisputable," said Radhouane Nouicer, U.N. regional humanitarian coordinator for Syria, who launched the appeals in Geneva.

Inside Syria, U.N. aid agencies aim to help 4 million people in need of urgent humanitarian assistance, including an estimated 2 million displaced from their homes by the fighting between President Bashar al-Assad's forces and rebels trying to topple him.

More than 525,000 Syrian refugees have already been registered and the latest estimate is that up to 1 million refugees in five countries, including Egypt for the first time, will need help in the first half of 2013, the U.N. refugee agency said.

"Unless these funds come quickly we will not be able to fully respond to the lifesaving needs of civilians who flee Syria every hour of the day - many in a truly desperate condition," UNHCR regional envoy Panos Moumtzis said.

The guidelines aim to establish a clear threshold on the acceptable level of behaviour under criminal law by striking a balance between the right to express an opinion and illegal action.

In his statement, Mr Stamer said

?These interim guidelines are intended to strike the right balance between freedom of expression and the need to uphold the criminal law.

?They make a clear distinction between communications which amount to credible threats of violence, a targeted campaign of harassment against an individual or which breach court orders on the one hand, and other communications sent by social media, e.g. those that are grossly offensive, on the other.

?The first group will be prosecuted robustly whereas the second group will only be prosecuted if they cross a high threshold; a prosecution is unlikely to be in the public interest if the communication is swiftly removed, blocked, not intended for a wide audience or not obviously beyond what could conceivably be tolerable or acceptable in a diverse society which upholds and respects freedom of expression.

?The interim guidelines thus protect the individual from threats or targeted harassment while protecting the expression of unpopular or unfashionable opinion about serious or trivial matters, or banter or humour, even if distasteful to some and painful to those subjected to it.?

Both the Police and victim support organisations have welcomed the consultation on the interim guidance. Government spending cuts and the pressure on other police resources require better targeting on cases involving social media websites, and these must be balanced against the impact on alleged victims. ?Chief Executive of Victim Support Javed Khan said:

?Victims tell us that sustained and vindictive targeting on social media can leave long lasting emotional and psychological scars, so we warmly welcome clarification on how prosecutors will deal with online threats or harassment.

?The distinction between communications which constitute a credible threat and those which may merely cause offence is sorely needed.?

Social media, information and online networking companies will be particularly interested in how the guidelines develop because of their relationship with online users and legal requirements to disclose confidential information during a criminal investigation. But any organisation which allows its employees to use the Internet also needs to ensure that social media / Internet policies are in place to ring-fence what browsing is and is not allowed. Companies?can be sued for not taking appropriate action to stop workers from abusing others when online using their corporate systems.
